Ateliers MÜZ – Artist Terms and Conditions of Representation
These Terms and Conditions (“Terms”) govern the relationship between any artist (“Artist”) applying for representation and Ateliers MÜZ (“MÜZ”), with respect to the exhibition, promotion, and sale of artworks (“Artworks”) through MÜZ’s online platform (“Platform”).
By submitting an application for representation or by using the Platform, the Artist confirms that they have read, understood, and agree to be bound by these Terms.
1. Appointment and Scope of Agency
The Artist appoints MÜZ to act as their authorized representative, with permission to exhibit, promote, and sell the Artworks submitted under the Exhibition Plan, as described on the Platform and selected by the Artist.
MÜZ’s role is limited to the exhibition, promotion, and online sale of Artworks on its Platform. MÜZ assumes no responsibility or liability for the Artworks or for the Artist’s actions.
The Artworks remain the property of the Artist until sold and delivered to the purchaser.
MÜZ may, with input from the Artist, respond to inquiries from potential buyers who have viewed the Artworks.
2. Exhibition of Artworks
All Artworks submitted for exhibition are subject to MÜZ’s approval. Only works deemed appropriate for all audiences will be accepted.
The Artist grants MÜZ permission to display, promote, and sell the approved Artworks online at the price established by the Artist.
The number of Artworks exhibited will depend on the selected Exhibition Plan.
Artworks may be displayed as part of collective exhibitions organized by MÜZ. The Artist may also apply to exhibit in third-party virtual exhibitions.
The Artist is responsible for providing accurate and complete information in English and/or French — including an artist profile, high-quality images, descriptions, and pricing — in accordance with MÜZ’s requirements.
The Artist may withdraw any Artwork from exhibition by providing 14 days’ written notice.
MÜZ will remove all Artworks from the Platform at the end of the representation period unless continued participation is confirmed.
3. Promotion of Artworks
Artworks will be promoted on MÜZ’s Platform, social media channels (e.g., Facebook, Instagram), and printed materials. The extent of promotion will vary depending on the selected Exhibition Plan.
MÜZ will create and maintain a personal profile page for each Artist, linking to the Artist’s website and social media accounts, as requested by the Artist.
Artists are encouraged to:
- Reference Ateliers MÜZ in their professional biographies, CVs, and online profiles.
- Share MÜZ’s promotional materials and posts related to their work across their own networks.
4. Sale of Artworks
Sales will be processed through MÜZ’s secure online payment system unless the Artist has selected the Premium Plan and opted to manage sales directly.
If managing sales directly, MÜZ will forward purchaser contact information to the Artist, who must promptly inform MÜZ of any completed sale so that the Artwork may be marked “Sold” on the Platform.
Once sold, the Artist is responsible for fulfilling delivery to the purchaser according to the Artwork’s description.
5. Payments and Accounting
For Artworks sold through MÜZ’s online system, MÜZ shall remit payment to the Artist within five (5) business days following confirmation of the purchaser’s receipt of the Artwork.
MÜZ shall maintain accurate records of all transactions and provide the Artist with a statement including:
- Date of sale
- Sale price
- Purchaser’s contact information
- Amounts due to both Artist and MÜZ
If the Artist manages their own sales, it is their responsibility to collect payment from the buyer.
6. Delivery and Shipping
The Artist is solely responsible for delivery and shipping arrangements for sold Artworks.
All costs, including shipping insurance, shall be agreed upon between the Artist and the purchaser.
7. Copyright and Promotion Rights
The Artist grants MÜZ a non-exclusive, royalty-free license to use images and information related to the Artworks solely for marketing, publicity, and promotional purposes — including on the Platform, social media, and printed or digital materials.
MÜZ agrees to respect the Artist’s moral rights and maintain the integrity of the Artworks in all uses.
The Artist waives any claim to royalties for promotional use as described above.
8. Commissions and Fees
Depending on the selected Exhibition Plan:
- Basic Exhibition Plan:
- 25% commission on sales
- $24 annual fee (payable in one lump sum)
- Standard Exhibition Plan:
- 20% commission on sales
- $60 annual fee (payable in one lump sum or two equal semiannual instalments)
- Premium Exhibition Plan:
- 10% commission on sales
- $120 annual fee (payable in one lump sum or two equal semiannual instalments)
There are no additional entrance fees for participation in collective virtual exhibitions organized by MÜZ.
If the Artist fails to fulfill a confirmed sale (e.g., Artwork unavailable or damaged), MÜZ reserves the right to recover any costs associated with refunds or purchaser compensation. The Artist is encouraged to maintain insurance coverage for their Artworks.
9. Duration and Termination
The Terms begin on the date the Artist submits an application and MÜZ confirms acceptance of representation and end after one (1) year upon fulfillment of all outstanding delivery obligations by the Artist.
Either party may terminate the agreement with 14 days’ written notice. If the Artist terminates early, MÜZ may retain all fees paid and recover any costs incurred prior to termination.
10. Modifications
MÜZ reserves the right to modify these Terms at any time. Any updates will be posted on the Platform, and continued participation by the Artist constitutes acceptance of the revised Terms.
These Terms represents the entire understanding between the parties.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada.
12. Limitation of Liability
By signing these Terms, the Artist warrants that:
- They are at least eighteen (18) years old and legally capable of entering into these Terms.
- The Artworks are original and do not infringe any third-party rights.
- The Artist is the sole owner of all rights, title, and interest in the Artworks.
The Artist agrees to hold harmless and indemnify MÜZ, its directors, employees, and volunteers from any claims, damages, or expenses (including legal fees) arising from participation in the exhibition, promotion, or sale of Artworks.
Acknowledgment
By submitting an application or using the Platform, the Artist acknowledges that they have read, understood, and agreed to these Terms and Conditions, including the Waiver of Liability.
The Artist acknowledges that agreeing to these Terms electronically has the same legal effect as signing a written document.
By applying for representation, the Artist consents to MÜZ’s collection, use, and storage of their personal information in accordance with MÜZ’s Privacy Policy, available on the Platform.
